Conyers advised Level 3 Communications, Inc. on its US$2 billion amalgamation with Global Crossing Limited which closed on October 4, 2011.
The transaction was structured as a share-for-share exchange. Conyers lawyers Graham Collis, Mary Ward and Dominic Ross advised on matters of Bermuda law and Willkie Farr & Gallagher LLP provided US advice to Level 3 Communications.
Bank of America Merrill Lynch, Citigroup and Morgan Stanley acted as advisors to Level 3 Communications and Rothschild provided the fairness opinion. Goldman Sachs advised Global Crossing Limited. Credit Suisse Securities advised Singapore Technologies Telemedia, Global Crossing Limited’s largest investor.
