Conyers advises on Chemspec acquisition - May 2011

Conyers has advised the buying consortium on the privatisation of Chemspec International Limited.

David Lamb, a partner in Conyers’ Hong Kong office, provided Cayman Islands legal advice on the structure of the privatisation.

O’Melveny & Myers LLP acted as Counsel to the Financial Advisor of the Independent Committee, Shearman & Sterling were Counsel to the Independent Committee. Simpson Thatcher & Bartlett LLP acted as Counsel to Chemspec International Limited. Latham & Watkins were Counsel to Primavera Capital, part of the consortium, White & Case LLP were Counsel to Standard Chartered Bank which provided a facility, Skadden, Arps, Slate, Meagher & Flom LLP & Affiliates were Counsel to the Chairman of Chemspec International Limited.

David Lamb commented: “Conyers is currently being instructed on a number of similar transactions as interest is high and this market continues to gain momentum. The amendments to the Cayman Islands Companies Law which came into force on 27th April have facilitated these transactions.”

Chemspec International Limited is a leading China-based contract manufacturer of highly engineered specialty chemicals and is the largest manufacturer of fluorinated specialty chemicals in China.
